Terms of Service

These Terms of Service (“Terms”) form a binding agreement between you (or the entity you represent) (“Customer”, “you”) and Loxias Limited, a company incorporated in England and Wales under company number 14068686, with its registered office at Lumaneri House, Blythe Gate, Blythe Valley Park, Solihull, United Kingdom, B90 8AH (“Loxias”, “we”, “us”), governing your use of the Pythia service (“Service”, “Pythia”) available at pythia.loxias.ai. By creating an account, connecting a YouTube channel or otherwise using the Service, you agree to be bound by these Terms.

Pythia provides chat-analytics tools for live broadcasts on YouTube, including real-time monitoring, post-live reports, sentiment analysis, AI-generated summaries, theme analytics and cross-broadcast workspace insights. The Service is provided as a hosted software-as-a-service (SaaS) product.

3. Duration

These Terms take effect on the date you first accept them and continue for the duration of any Subscription Term and thereafter for as long as you continue to access the Service.

4. Access to the Service

Subject to your compliance with these Terms and payment of any applicable fees, Loxias grants the Customer a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Service during the Subscription Term, solely for the Customer’s own internal business purposes.

By using Pythia the Customer expressly acknowledges and agrees to be bound by the YouTube Terms of Service and the YouTube API Services Terms, and that processing of YouTube data is also subject to the Google Privacy Policy. The Customer may revoke Loxias’s access to its YouTube data at any time at security.google.com/settings/security/permissions.

7. Intellectual Property

The Service, including its source code, designs, trademarks and documentation, is and shall remain the exclusive property of Loxias and its licensors. Loxias grants the Customer no rights other than the limited licence set out in clause 4.

The Customer retains all rights, title and interest in and to Customer Data. The Customer grants Loxias a non-exclusive, worldwide, royalty-free licence to host, process, transmit and display Customer Data solely as necessary to provide the Service. YouTube data accessed through the Service remains the property of YouTube, the relevant channel owner and/or the original posters of the messages, as applicable.

8. Publicity

Neither party may use the other’s name, logo or trademarks in any external communication without the other’s prior written consent, except that Loxias may identify the Customer as a customer of the Service in customer lists on its website and in standard marketing collateral.

9. Data Protection

The parties shall comply with their respective obligations under applicable data protection laws. Loxias’s processing of personal data on behalf of the Customer is governed by our Privacy Policy and, where applicable, a separate Data Processing Schedule entered into between the parties. Loxias shall notify the Customer without undue delay, and in any event within 72 hours, of becoming aware of any personal data breach affecting Customer Data.

10. Confidentiality

Each party shall keep confidential any non-public information of the other party disclosed in connection with these Terms and use it solely for the purposes of performing this agreement. This obligation does not apply to information that is or becomes publicly available without breach of these Terms, was lawfully known to the receiving party before disclosure, or is independently developed.

11. Price & Payment

Fees, billing cycles and the features included in each subscription plan are presented at the time of purchase. Unless otherwise agreed, fees are payable in advance, are non-refundable, and subscriptions renew automatically at the end of each billing period until cancelled. The Customer may cancel at any time; cancellation takes effect at the end of the then-current billing period.

12. Support

Loxias provides commercially reasonable support for the Service during normal business hours. The scope of support depends on the Customer’s subscription plan. We do not warrant that the Service will be uninterrupted or error-free.

13. Sub-processors

Loxias may engage third-party sub-processors to provide the Service (as listed in our Privacy Policy). Loxias will give the Customer at least 30 days’ prior notice of any new sub-processor; if the Customer reasonably objects within 14 days, the parties will discuss in good faith. We remain responsible for the acts and omissions of our sub-processors as if they were our own.

14. Suspension & Termination

Loxias may suspend or terminate the Customer’s access to the Service immediately if the Customer materially breaches these Terms and fails to cure within 14 days of written notice, if continued service would expose Loxias or other customers to material risk, or if required by law or by Google. Upon termination, the Customer’s right to use the Service ceases and Customer Data is removed in accordance with our Privacy Policy.

15. Warranties

Each party warrants that it has the right and authority to enter into these Terms. To the maximum extent permitted by law, the Service is provided “as is”and “as available”, and Loxias disclaims all other warranties, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose and non-infringement. Analyses produced by the Service (sentiment classifications, AI-generated summaries, recommendations) are provided for informational purposes only and should not be the sole basis for editorial, commercial or moderation decisions.

16. Limitation of Liability

Nothing in these Terms limits or excludes either party’s liability for death or personal injury caused by its negligence, fraud or any other liability that cannot be limited under applicable law. Subject to the foregoing, to the maximum extent permitted by law:

17. Force Majeure

Neither party shall be liable for any failure to perform its obligations under these Terms caused by an event beyond its reasonable control, including but not limited to acts of God, war, terrorism, civil disturbance, government action, internet or telecommunications outages, or failures of upstream providers (including, for the avoidance of doubt, Google and YouTube).

18. Assignment

The Customer may not assign or transfer these Terms without Loxias’s prior written consent. Loxias may assign these Terms to an affiliate or to a successor in connection with a merger, acquisition or sale of all or substantially all of its assets.

19. Notices

Notices to the Customer may be given by email to the address associated with the workspace administrator’s account or via an in-app notice. Notices to Loxias must be sent to technology@loxias.ai.

20. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

21. Entire Agreement

These Terms, together with our Privacy Policy and any order form or subscription plan accepted by the Customer, constitute the entire agreement between the parties and supersede any prior agreements relating to the subject matter.

22. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified by email or in-app at least 15 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

23. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales. The parties submit to the exclusive jurisdiction of the courts of England and Wales for the resolution of any dispute arising out of or in connection with these Terms, save that, where mandatory consumer-protection law of the Customer’s place of residence applies, the Customer may bring proceedings in those courts.
